Terms and conditions
These are the general terms and conditions of Infinitive Global B.V. They apply to all our proposals, agreements and work, unless we agree otherwise in writing.
1. Applicability
These terms apply to every proposal and agreement between Infinitive Global B.V. and a client. Deviations only apply when recorded in writing and confirmed by both parties.
2. Proposals and formation
Our proposals are valid for thirty days unless stated otherwise. An agreement is formed once you accept the proposal in writing or we start work at your request.
3. Performance of the work
We perform work carefully and to the best of our ability, in the steps and iterations agreed together. Stated timelines are realistic plans but not strict deadlines, unless explicitly agreed.
4. Rates and payment
Prices exclude VAT. We invoice according to the schedule in the proposal; the payment term is fourteen days. Additional work is always discussed in advance and only performed after your approval.
5. Intellectual property
Custom work we build for you becomes your property after full payment, including source code and documentation. Our own products, reusable components and tools remain the property of Infinitive Global; you receive a licence to use them.
6. Confidentiality
Everything we learn about your organisation is treated as confidential — even without a separate NDA. We ask the same of you regarding our methods and rates.
7. Liability
Our liability is limited to direct damage and capped at the amount you paid us for the relevant assignment in the six months preceding the event causing the damage. We are not liable for indirect damage, such as lost profit or data loss beyond our control.
8. Term and termination
Ongoing arrangements, such as maintenance, carry a one-month notice period unless agreed otherwise. On termination we hand everything over properly: code, documentation and access.
9. Governing law
Dutch law governs all agreements. Disputes are first raised between the parties; if we cannot resolve them together, the Dutch courts have jurisdiction.
